What We’re Looking For
- Licensure:
- Active bar membership in good standing in any U.S. jurisdiction.
- Ability to practice federal securities law across jurisdictions.
- Experience:
- In-depth knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, including their regulatory frameworks and compliance requirements.
- Strong expertise in drafting and reviewing S-1 registration statements and other SEC filings.
- 5+ years of relevant securities law experience preferred; however, we are willing to train motivated attorneys with a strong foundation in corporate law.
- Familiarity with SEC compliance, corporate governance, and public offerings.
- Experience working with Japanese clients is a plus but not required.
- Billable Hours:
- Comfortable meeting 150-175 billable hours per month, with the flexibility to manage your time effectively.
- Skills:
- Well-versed in securities regulations and confident in advising clients on compliance, transactional matters, and regulatory filings.
- Strong drafting, research, and analytical skills, particularly in SEC filings and disclosure documents.
- Excellent communication and collaboration skills in a remote work environment.
What You’ll Do
- Draft, review, and file S-1 registration statements and other SEC filings, ensuring compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Advise clients on securities compliance, including IPOs, public and private offerings, and corporate transactions.
- Provide guidance on corporate governance best practices and evolving regulatory requirements.
- Collaborate with clients and team members to deliver practical, business-focused legal solutions.
- Build strong relationships with clients while maintaining a high standard of professionalism.
